Planet Labs Inc. hereby sets forth the following “Supported By PlanetDAO Terms of Use” (hereinafter referred to as the “Terms”) regarding the service “Supported By PlanetDAO” (hereinafter referred to as the “Service”). Users of the Service (hereinafter referred to as “Users”) shall be deemed to have agreed to these Terms and shall use the Service in accordance with these Terms.
Chapter 1 General Provisions
Article 1 (Application)
The meanings of the terms used in these Terms are as follows:
- “All-In Method” means a crowdfunding implementation method whereby crowdfunding is deemed successful once at least one yen of support has been pledged, regardless of whether the total amount of support reaches the target amount.
- “All-or-Nothing Method” means a crowdfunding implementation method whereby crowdfunding is deemed successful only if the total amount of support reaches the target amount.
- “Achievement of Crowdfunding” means, in the case of the All-or-Nothing Method, that the total support amount reaches the target amount, and in the case of the All-In Method, that the total support amount reaches one yen.
- “Completion of Crowdfunding” means that crowdfunding has been achieved and the fundraising period has ended without the crowdfunding being canceled.
- “Support” means the prescribed act of paying money (hereinafter “Support Funds”) to the asset owner through crowdfunding published on the Service.
- “Support Agreement” means the agreement established between the supporter and the asset owner when the supporter provides support through crowdfunding on the Service.
- “Supporter” means a registered User who has provided or intends to provide support to a crowdfunding project through the Service.
- “Total Support Amount” means the aggregate amount of Support Funds pledged for a particular crowdfunding project.
- “Fundraising Period” means the period during which an asset owner solicits support for a crowdfunding project through the Service.
- “Asset Owner” means a person or entity conducting crowdfunding through the Service.
- “Project” means the plan, operation of an organization, or other initiative carried out by the asset owner using Support Funds.
- “Project Completion Date” means the date notified by Planet Labs through its designated method as the implementation or due date of the Project when publishing the crowdfunding campaign.
- “Project Page” means the webpage describing the Project details, return contents, target amount, use of Support Funds, fundraising period, and other matters designated by Planet Labs.
- The Service is different in nature from becoming a shareholder of the property-holding company of PlanetDAO. Please refer to each Project Page for details on benefits provided under the Service.
- “Target Amount” means the fundraising target amount set by the asset owner in a crowdfunding project.
- “Return” means goods, services, or rights provided by the asset owner to the supporter.
Chapter 2 Service Content
Article 2 (Overview and Use of the Service)
- The Service allows asset owners to conduct crowdfunding and receive support from supporters, enables supporters to provide support to crowdfunding projects, and provides opportunities and venues for interaction between asset owners and supporters.
- In order to provide support as a supporter, the User must complete registration through the form provided by Planet Labs.
Article 3 (Support Agreement and the Position of Planet Labs)
- When support is provided for a crowdfunding project through the Service, a Support Agreement is established between the asset owner and the supporter in accordance with these Terms.
- The Support Agreement primarily consists of the supporter paying Support Funds to the asset owner, and the asset owner executing the Project, using the Support Funds, and providing the Return in accordance with the content described on the Project Page. The contents specified in the attached “Support Agreement” also constitute part of the Support Agreement.
- The exercise of rights and performance of obligations under the Support Agreement shall be carried out at the responsibility and expense of each supporter and asset owner. Supporters shall make initial inquiries directly to the asset owner regarding the execution of the Project, the use of Support Funds, provision of Returns, and other matters related to the Support Agreement, using the Service’s messaging function or other methods.
- Planet Labs is not a party to the Support Agreement and does not assume any obligations (including execution of the Project or provision of Returns) or responsibilities thereunder, nor does it guarantee performance of obligations under the Support Agreement.
4-2. Support provided by Planet Labs to supporters is limited to assisting asset owners in soliciting supporters through marketing activities, providing a payment platform, and preparing FAQs for supporters. All subsequent actions remain the sole responsibility of the asset owner. - Even if disputes arise in connection with or related to the Support Agreement (including delays in Project execution or Return provision), Planet Labs is not obligated or responsible for mediation, arbitration, cancellation, or any other dispute resolution measures (including canceling support through the Service system).
- If, for any reason, a supporter seeks a refund from an asset owner or an asset owner agrees to refund Support Funds to a supporter, unless Planet Labs specifically approves otherwise, the necessity, timing, and method of the refund shall be determined through consultation between the asset owner and the supporter, and the refund shall be made directly by the asset owner at its own expense and responsibility. While Planet Labs may support smooth refund processing as part of its customer service, it does not guarantee that refunds will be properly made by asset owners.
- If an asset owner fails to provide Returns without valid reason, or provides Returns that clearly differ from the descriptions, Planet Labs may, in order to preserve reliability, take measures such as making the Project Page private, suspending it, displaying warnings, or notifying related supporters.
- The measures in the preceding paragraph will only be implemented if Planet Labs deems them necessary from the perspective of supporter protection, and Planet Labs does not bear any substantial obligation or guarantee regarding the fulfillment of Returns
Article 4 (Collection of Support Funds)
The asset owner grants Planet Labs the authority to receive, on behalf of the asset owner, the Support Funds paid by supporters under the Support Agreement. At the time Planet Labs receives the Support Funds on behalf of the asset owner, the supporter’s obligation to pay Support Funds is deemed fulfilled.
Chapter 3 Rules for Supporters
Article 5 (Providing Support to Crowdfunding Projects)
- Supporters may provide support to crowdfunding projects by performing the prescribed operation through the Service during the Fundraising Period, in accordance with the method designated by Planet Labs. Support shall be deemed effective once the supporter’s payment has been confirmed and a confirmation email has been sent.
- Supporters shall not provide support without genuine intent (e.g., with the intention of later canceling the support or for mischief).
- When entering contact or other information in connection with support, supporters shall enter truthful and accurate information. Unless separately approved by Planet Labs, such information cannot be modified after support has been completed.
Article 6 (Information Regarding Support)
- Supporters agree, upon providing support, that Planet Labs may provide the asset owner with their username, email address, selected Return, and other support-related information (including name, phone number, postal code, and address, if entered). Planet Labs may also provide such information to payment processors, financial institutions, and other third parties to the extent necessary to provide the Service.
- Asset owners may only use supporter information provided by Planet Labs (such as names, contact details, support amounts, Return selections) for the operation of the Project, provision of Returns, and communication with supporters, and must not use or disclose it for any other purposes.
Article 7 (Cautions When Supporting)
- Supporters shall fully understand the content of the Project Page and acknowledge that execution of the Project and provision of Returns involve certain risks and uncertainties, and shall provide support at their own responsibility.
- Planet Labs is not a party to the Support Agreement and does not assume any obligations or responsibilities thereunder, nor does it guarantee performance of obligations under the Support Agreement. Supporters shall make inquiries regarding Project execution, use of Support Funds, provision of Returns, or other Support Agreement matters directly to the asset owner using the Service’s messaging function or other methods.
- Time lags may occur between the time supporters transmit support-related information and the time support is deemed effective, and if transmitted immediately before the end of the Fundraising Period, support may not be valid.
- Supporters acknowledge that Returns may be newly added after they have provided support, or that the content of the Project Page may be changed.
- The issuer of receipts for Support Funds shall be the asset owner. For issuance of receipts, please contact the asset owner directly. Planet Labs may issue a certificate of support upon request, but this shall only certify that support was provided through the Service and is not a receipt.
- Even if a registered User provides support using funds received from another person, the registered User shall be treated as the supporter under these Terms. In such cases, the registered User shall manage information related to that other person at its own responsibility and handle refunds and other matters in accordance with its agreement with that person if the crowdfunding is not completed.
Article 8 (Cautions When Supporting)
- If support is canceled in accordance with these Terms, the support, Support Agreement, and supporter system usage fee shall be retroactively rescinded.
- If crowdfunding is not completed, the support shall be canceled.
- Crowdfunding shall be deemed successful once the target amount is reached in the All-or-Nothing Method, or once at least one yen is pledged in the All-In Method.
- Planet Labs may cancel support at its discretion, regardless of whether the Fundraising Period has expired, if the asset owner or supporter violates these Terms, makes false representations, or if Planet Labs deems it necessary.
- If support is canceled after payment is completed, Planet Labs shall refund the Support Funds and supporter system usage fee to the supporter by the method and timing designated by Planet Labs, depending on the chosen payment method.
- No interest shall accrue on Support Funds or supporter system usage fees in the event of cancellation.
- Even if support is canceled, supporters agree that Planet Labs may provide the asset owner with information including details of such cancellation.
Chapter 4 Miscellaneous
Article 9 (Disclaimer)
- Planet Labs makes no representations or warranties regarding crowdfunding conducted through the Service, including but not limited to the following:
(1) Information on Project Pages is up-to-date, accurate, and truthful.
(2) Execution of the Project and provision of Returns do not violate laws, regulations, or public policy applicable to asset owners or supporters.
(3) The Project will be executed as described on the Project Page.
(4) Support Funds will be used as described on the Project Page.
(5) Returns will be provided as described on the Project Page.
(6) The Project and Returns meet the nature, quality, value, or performance expected by supporters. - Planet Labs does not express any endorsement, approval, or disapproval regarding the content of individual Project Pages posted on the Service.
Article 10 (Amendment of Terms)
- If Planet Labs modifies these Terms, it will notify Users by publishing the amended Terms on the Service website or by other appropriate methods.
- Users shall be deemed to have agreed to the amended Terms if they use the Service after such modifications.
Article 11 (General Provisions)
- Even if any provision of these Terms is found invalid or unenforceable under the Consumer Contract Act or other laws and regulations, the remaining provisions shall continue in full force and effect.
- These Terms shall be governed by and construed in accordance with the laws of Japan.
Attachment: Support Agreement
Validity of Support Agreement
- When support is provided for a crowdfunding project through the Service, a Support Agreement is established between the asset owner and the supporter in accordance with these Terms.
- If support is canceled in accordance with these Terms, the Support Agreement shall be retroactively rescinded.
Content of the Support Agreement
- Supporters are obligated to pay Support Funds to the asset owner in accordance with these Terms.
- Asset owners are obligated to execute the Project, use the Support Funds, and provide Returns to supporters in accordance with the Project Page.
- If the content of the Project Page (including Project details and Returns) changes after the establishment of the Support Agreement, the content of the Support Agreement shall also be modified to the extent reasonably permissible, considering the consistency of the Project’s purpose, the nature and degree of impact on supporters, and other relevant circumstances.
- The asset owner may specify the timing and method by which supporters exercise their rights to Returns. Even if a supporter fails to comply with such timing or method, no refund of Support Funds shall be made.
Prohibited Acts
Supporters and asset owners shall not engage in, or assist or encourage, any of the following acts in connection with the Support Agreement:
- Acts that violate laws, court judgments, decisions, orders, or legally binding administrative measures.
- Harassment, unjust demands, or defamation.
- Infringement of copyrights, trademarks, patents, or other intellectual property rights, honor, privacy, or other legal or contractual rights of the other party or third parties.
- Acts that may harm public order or morals.
- Religious activities or solicitation to religious groups.
- Acts for the purpose of sexual conduct or obscene activities.
- Acts for commercial, business, or promotional purposes.
- Acts inconsistent with the purpose of the Support Agreement.
- Any other acts equivalent to those listed above.
Application
If the content of the Project Page conflicts with or contradicts the provisions of this Attachment, the content of the Project Page shall prevail.
